Affiliate Programme Terms And Conditions
These terms describe the Phase One relationship with Multiquoter Ltd, company number 13460896, trading as Clean Green Cars (CGC). The commission rate, validation period, attribution window, minimum payment threshold and payment schedule are set out in the affiliate's activation email, called the Commercial Schedule below, and may be changed under section 11.
1. Appointment And Status
Multiquoter Ltd, trading as Clean Green Cars, may approve the applicant as a non-exclusive affiliate for CGC Premium Vehicle Reports under the Commercial Schedule. Its registered office is 1 Southdown Close, Kingsnorth, Ashford, England, TN25 7AE. Approval is not automatic. The affiliate acts as an independent business and cannot contract, make promises, accept payment or speak on behalf of CGC.
2. Clean Green Cars' Role
Customers referred by an affiliate purchase Premium Vehicle Reports directly from CGC. CGC is responsible for checkout, payment, report delivery, customer service, complaints and refunds.
3. The Affiliate's Role
The affiliate may share only the URL, QR code, wording and creative material approved by CGC. The affiliate must not collect payment, vehicle report details or customer information on CGC's behalf. The affiliate must keep its contact and payment information accurate when requested privately by CGC.
4. Tracking Codes And Qualifying Sales
CGC will issue a unique tracking code within an approved referral link. A qualifying sale is a completed, paid and delivered Premium Vehicle Report attributed to that tracking code under the attribution window and conflict rule in the Commercial Schedule. Cancelled, refunded, disputed, fraudulent, duplicated, test and self-referred purchases do not qualify.
CGC does not guarantee that every referral will be tracked. CGC's order, payment and tracking records, and its decisions on attribution and validation, are final. A claim for a missing or wrongly attributed sale must reach CGC by the 10th day of the month after the sale; later claims will not be considered. Tracking records may be retained for audit, fraud prevention and commission reconciliation.
5. Commission And Payment
The commission rate, validation period, attribution window, minimum payment threshold and payment timetable are set out in the Commercial Schedule. Commission is either a percentage of the qualifying sale value or a fixed amount per qualifying sale, as stated in the Commercial Schedule. The qualifying sale value is the amount the customer actually pays for the order, after any discount.
Where VAT applies to a sale, the qualifying sale value is the amount paid excluding VAT. Commission is the total amount CGC will pay for each qualifying sale and is inclusive of any VAT chargeable on the affiliate's supply. CGC will not pay any additional amount on account of VAT. An affiliate that is required to account for VAT must do so out of the commission and is solely responsible for paying it to HMRC. The affiliate must tell CGC promptly of any change to its VAT registration.
Each report package has a maximum commission per sale, which is set out in the Commercial Schedule. Where a percentage would come to more than that maximum, the commission on that sale is the maximum. Commission remains pending until the sale is validated.
CGC may reverse commission for refunds, disputes, chargebacks, fraud, tracking abuse or breach of these terms, including after it has been paid. CGC may deduct any reversed or overpaid commission from future commission, or require the affiliate to repay it within 14 days of being asked. No interest is payable on commission that is paid late or withheld under these terms.
Balances below the minimum payment threshold carry forward. A balance that has not reached the threshold within 12 months of the sale, or that remains when the account closes, is forfeited. Payments are made only to verified payment details, and any bank, transfer or currency charges are the affiliate's responsibility. Each party is responsible for its own taxes. CGC may require an invoice, self-billing agreement and verified bank details before payment.
6. Promotion Rules
The affiliate must make the commercial relationship clear wherever required and must follow the CAP Code and applicable advertising, consumer and privacy rules. The affiliate must not use misleading price, coverage or guarantee claims, unsolicited messages, cookie stuffing, forced redirects, unauthorised paid search, CGC trademark bidding, impersonation, invented reviews or claims that the affiliate provides the report.
7. Customer Data And Confidentiality
CGC does not provide the affiliate with customer names, email addresses, registrations, payment details or report contents. Aggregate sales and commission information may be supplied through the Affiliate Centre or by email. If the affiliate collects personal data for its own purposes, it is independently responsible for that collection and must not imply that CGC requested it. Each party must keep non-public commercial and security information confidential and reasonably cooperate with an attribution, refund, fraud or compliance audit.
8. Approved Materials And Intellectual Property
CGC grants a limited, revocable right to use approved affiliate materials during the agreement. The affiliate cannot alter CGC branding or register confusing domains, accounts or advertising identities. Any use of CGC names, logos or materials requires written approval and must stop when the agreement ends.
9. Suspension And Termination
The affiliate may end the arrangement at any time by written notice. CGC may suspend or end the arrangement, or close the affiliate's account, at any time and for any reason, with immediate effect, by notice. CGC may also close an account that has had no qualifying sales for 6 months. No commission is earned on sales made while a link or account is suspended.
If CGC suspends an account or ends the arrangement because of fraud, misleading promotion, breach of these terms or conduct that harms CGC's reputation, all unpaid commission is forfeited. Otherwise, validated commission earned before termination is paid under the Commercial Schedule, subject to reversals and deductions. Within 7 days of termination the affiliate must remove all CGC links, names, logos and materials.
10. Liability And Indemnity
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot legally be limited. Subject to that, CGC is not liable for any loss of profit, revenue, business or goodwill, or for any indirect or consequential loss. CGC is not liable for any tracking failure, system downtime or interruption to the programme. CGC's total liability arising from or in connection with these terms is limited to the commission paid to the affiliate in the 3 months before the event giving rise to the claim.
The affiliate will indemnify CGC against all losses, fines, costs (including reasonable legal costs) and claims arising from the affiliate's breach of these terms, its promotion of CGC, or its breach of advertising, consumer protection, data protection or other applicable law.
11. Changes
CGC may change the programme, the reports, prices, commission rates, the Commercial Schedule or these terms at any time by notice to the affiliate by email or in the Affiliate Centre. A change takes effect on the date stated in the notice. A change that reduces commission takes effect at least 7 days after the notice is sent; any other change may take effect from the date the notice is sent. Commission on qualifying sales made before a change takes effect is calculated under the terms that applied when the sale was made. An affiliate who does not accept a change may stop promoting CGC and close their account. Continuing to promote CGC after a change takes effect means the affiliate accepts it.
12. General
CGC may refuse any application, decline any order and suspend, change or close the programme at any time. The affiliate is appointed on a non-exclusive basis and CGC may appoint other affiliates. The affiliate may not assign, transfer or subcontract its rights or obligations without CGC's written consent. CGC may assign or transfer its rights and obligations at any time.
These terms, the Commercial Schedule and any notice given under section 11 are the entire agreement between the parties and replace any earlier discussions. A failure or delay by CGC in enforcing a term is not a waiver. If any provision is found invalid, the rest remain in force. Notices to CGC may be sent to [email protected] or to its registered office. Notices to the affiliate may be sent to the email address held in the Affiliate Centre. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
